1. Acceptance of Terms
By accessing, registering for, or using the Experti360 platform ("the Platform"), you ("the User") expressly agree to be bound by these Terms and Conditions ("Terms"). If you do not agree with any part of these Terms, you must not use the Platform. These Terms constitute a legally binding agreement between you and Experti360.
2. Description of Service
Experti360 is a customer relationship management (CRM) and messaging platform that provides tools for contact management, WhatsApp messaging, marketing campaigns, automation flows, AI-assisted responses, and related business services. The Platform is provided "as is" and may be updated, modified, or discontinued at any time.
3. Eligibility and Account Responsibility
You must be at least 18 years old and have the legal capacity to enter into binding agreements. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must notify us immediately of any unauthorized access.
4. License and Permitted Use
Experti360 grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your internal business purposes. You may not: (a) sublicense, resell, or distribute the Platform; (b) reverse engineer, decompile, or disassemble any part of the Platform; (c) use the Platform to send spam or unlawful communications; (d) violate any applicable law or regulation.
5. Intellectual Property and Reserved Rights
All intellectual property rights in the Platform — including but not limited to source code, algorithms, designs, logos, trademarks, documentation, and user interfaces — are the exclusive property of Experti360 and its licensors. No right, title, or interest is transferred to you. All rights not expressly granted are reserved. Unauthorized reproduction, distribution, or creation of derivative works is strictly prohibited and may result in legal action.
6. Data Protection and Privacy
You are responsible for the lawful collection and processing of any personal data you upload to the Platform. Experti360 processes data in accordance with its Privacy Policy and applicable data protection laws. We implement industry-standard security measures including encryption, access controls, and audit logging. Message content transmitted via WhatsApp is subject to Meta's terms and policies.
7. Payment, Billing, and Refunds
Subscription fees are billed in advance on a monthly or annual basis as selected. All fees are non-refundable except as required by law. Failure to pay may result in suspension or termination of your account. Price changes will be communicated at least 30 days in advance. Continued use after a price change constitutes acceptance of the new pricing.
8. Limitation of Liability
To the maximum extent permitted by law, Experti360 shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunities, or goodwill. Our total aggregate liability shall not exceed the amount you paid us in the 12 months preceding the claim. We do not guarantee uninterrupted, error-free service.
9. Termination
Either party may terminate this agreement at any time. Upon termination, your access to the Platform will cease. You may request a copy of your data within 30 days of termination. Experti360 may delete all data associated with your account after this period. Termination does not relieve you of any outstanding payment obligations.
10. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Republic of Colombia. Any dispute arising from these Terms shall be resolved through binding arbitration in Bogotá, Colombia, in Spanish, in accordance with the rules of the relevant arbitration center. The prevailing party may recover reasonable attorney's fees.
11. Modifications to Terms
Experti360 reserves the right to modify these Terms at any time. Material changes will be communicated via email or in-app notification at least 15 days before they take effect. Your continued use of the Platform after modifications constitutes acceptance of the updated Terms.
